Notice of Annual General Meeting :-
NOTICE IS HEREBY GIVEN that the 20th Annual General Meeting(AGM) of INDUSTRIAL CONCRETE PRODUCTS BERHAD(32369-W) will be held at the Conference Room, 2nd Floor, Wisma IJM, Jalan Yong Shook Lin, 46050 Petaling Jaya. Selangor Darul Ehsan, Malaysia on Wednesday, 5 November 1997, at 4.00 p.m. to transact the following business:-
1. To receive the audited accounts together with the reports of the Directors and Auditors for the year ended 30 June 1997. (Resolution 1)
   

2. To declare a final gross dividend of 5% or 5 sen per share for the year ended 30 June 1997. (Resolution 2)
   

3. To elect retiring Directors as follows:-
  a)Tan Boon Seng @ Krishnan (Resolution 3)
  b)Chew Kong Seng @ Chew Kong Huat (Resolution 4)
     
4. To appoint KPMG Peat Marwick as Auditors and to authorize the Directors to fix their remuneration. (Resolution 5)
     
5. As special business to consider and, if thought fit, to pass the following ordinary resolutions:-  
  a)"That the Directors' fees of RM49,500 for the year ended 30 June 1997 be approved to be divided amongst the Directors in such manner as they may determine." (Resolution 6)
     
  b)"That the Directors be and are hereby authorized, pursuant to Section 132D of the Companies Act 1965, to allot and issue not more than ten percent(10%) of the issued share capital of the Company at any time upon such terms and conditions and for such purposes as the Directors in their absolute discretion deem fit or in pursuance of offers, agreements or options to be made or granted by the Directors while this approval is in force and that the directors be and are hereby further authorized to make or grant offers, agreements or options which would or might require shares to be issued after the expiration of the approval hereof."

Notes:
1. APPOINTMENT OF PROXY

A member or holder entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote in his stead and such a proxy need not be a member of the Company. In the case of a corporate member, the instrument appointing a proxy must be either under its common seal or under the hand of its officer or attorney duly authorized. The instrument appointing a proxy must be deposited at the Registered Office not less than forty-eight(48) hours before the time set for holding the meeting or adjourned meeting.

2. CLOSURE OF REGISTER

The register of Transfers will be closed on 6 December 1997 for purpose of preparing warrants for the final dividend which, if approved, will be paid on 31 December 1997 to every member or holder who is entitled to receive the dividend as at 5.00 p.m. on 5 December 1997. Registrable transfers deposited with the Malaysian Central Depository Sdn Bhd (165570-W) by 12.30 p.m. on 3 December 1997, or received by the Share Registrars, IGB Corporation Berhad (5745-A), 25th Floor, Menara Tan & Tan, 207 Jalan Tun Razak, 50400 Kuala Lumpur, Malaysia by 5.00 p.m. on 5 December 1997 will be registered before entitlements to the dividend are determined.

3. DIRECTORS' FEES

The Resolution 6, if approved, will authorize the payment of Directors' fees pursuant to Article 100 of the Articles of Association.

4. AUTHORITY TO ALLOT SHARES UNDER SECTION 132D

The Resolution 7, if approved, will authorize the Directors pursuant to Section 132D of the Companies Act, 1965 to issue not more than 10% of its issued share capital. Such issuance of shares will still be subject to the approvals of the Securities Commission and Kuala Lumpur Stock Exchange. The authorization, unless in pursuance of offers, agreements or options to be made or granted by the Directors while the approval is in force, will expire at the next AGM.
