Further to the announcement on 18 January 2005 on the incorporation of ICP Jiangmen Co., Ltd ("ICPJ") in the People's Republic of China, the Company will be acquiring an additional 6% equity interest in ICPJ for a total cash consideration of RMB3.6 million (about RM1.67 million). With this acquisition, ICPJ will be a 79% subsidiary of the Company from 73% previously. ICPJ is presently setting up a factory in Gujing Town, Xinhui District, Jiangmen City, Guangdong Province of the People's Republic of China, to produce and market pretensioned spun concrete piles. The factory is expected to be completed in December 2005.

None of the Directors nor substantial shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the acquisition, and no approval from shareholders is required. The acquisition is subject to the approval of the relevant authorities in the People's Republic of China, and is not expected to have any significant effect on the earnings or net tangible assets per share of the Company for the financial year ending 31 March 2006.
